  • Representative Agreement This agreement is made and entered into by and between the parties concerned on April 27, 2006 Guangzhou, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow: 1. Appointment Party A hereby appoints Party B as its Purchasing Representative to find suppliers for the commodity stipulate in Article 3 from China and Party B accepts and assumes such appointment. 3. Commodities (Commodity should be legal and be brought from China.) 4. Minimum turnover Party B shall undertake to purchase the goods through Party A during the effective period of this agreement for not less than USD 5. Price and Payment The price for each individual transaction shall be fixed through negotiations between Party B and the Chinese suppliers, and subject to Party A's final confirmation. Party A should pay 30% T/T as deposit to Party B before production, and pay 70% T/T as balance to Party B before delivery for each individual transaction. 6. Party A¡¯s Rights & Duties Rights: According to the items of the Agency Agreement, Party A has rights to send commodities details to Party B and ask Party B to search for the products. Duties: Party A obligates to offer Party B typical commodities details as clear as possible such as the description, specification and so on. 7. Party B¡¯s Rights & Duties Rights: Should the commodities supplied by Party A surpass the Agency Agreement, Party B has right to invalidate the Purchasing Order Duties: According to the items of the Agency Agreement, Party B obligates to conduct necessary supervising and administering to the suppliers referring to the quality and quantity. And Party B should guarantee the Purchasing Order is appropriately conducted. 8. Commission Party A shall pay Party B a commission of 5% on the amount of the contract which is agreed by both parties. The commission should be paid before delivery. 9. Validity of Agreement This agreement, when duly signed by the both parties concerned, shall remain it force. 10. Force Majuro Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majuro shall inform the other party of its occurrence in writing as soon as possible and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence 11. Arbitration All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied.
